Under penalties of perjury, the contractor certified that the taxpayer identification number shown above is correct, that they are not subject to backup withholding, and that they are a U.S. person. Collected electronically in lieu of IRS Form W-9; retained by Her Climb Inc. for 1099-NEC reporting.
This agreement is between Her Climb Inc. ("the Company") and {{ pd.name }} ("the Contractor"), effective {{ pd.startDate }}.
1. Independent contractor status
The Contractor performs services as an independent contractor, not an employee. The Contractor is responsible for their own federal, state and self-employment taxes. The Company will report payments on IRS Form 1099-NEC where total annual compensation reaches the applicable threshold.
2. Services
The Contractor will provide services in the capacity of {{ pd.role }}, as agreed with the Company from time to time. The Contractor controls the manner and means by which the services are performed.
3. Payment
The Company will pay the Contractor at the rate agreed in writing, by direct deposit to the account on file ({{ pd.bankLine }}). The Contractor authorizes the Company to originate credit entries to that account.
4. Confidentiality
The Contractor will keep confidential all non-public information about the Company, its participants and its partners, both during and after the engagement.
5. Term and termination
Either party may end this engagement at any time, with or without cause, on written notice. The Company will pay for services performed through the end date.
6. Governing law
This agreement is governed by the laws of the State of Ohio. It is subject to the Company's terms and conditions and privacy policy, which the Contractor acknowledged at signing.
